1. Acceptance of Terms

By accessing and using Askify ("Service," "we," "our," or "us"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Askify is an AI-powered Instagram automation assistant that provides automated customer support. You can connect your Instagram professional account either through Instagram Business Login or by linking via a Facebook Page (see Account Registration). Our Service includes:

AI-powered responses to Instagram direct messages
AI-powered automated replies to Instagram post comments
Customizable AI assistant configuration
Knowledge base management
Conversation monitoring and analytics
Dashboard for managing settings and viewing metrics

3. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration

To use the Service, you must:

Create an account with accurate and complete information
Maintain the security of your account credentials
Connect an Instagram Business or Creator account via Instagram Business Login or via Facebook Page connection (see our connection options at sign-up)
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

5. Third-Party Platform Requirements

You must comply with Meta's Terms of Service, Instagram Terms of Use, Instagram Platform Terms (when using Instagram Business Login), and Meta Business Tools Terms when using our Service. You are responsible for maintaining valid permissions and access tokens for your Instagram professional account—whether obtained through Instagram Business Login or through Facebook Page–linked access—including permissions required for automated comment replies where applicable.

6. Subscription and Billing

6.1 Free Plan

We offer a free plan that includes up to 100 AI responses per month. Usage resets on the 1st of each calendar month. No credit card is required for the free plan.

6.2 Paid Subscriptions

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law.

6.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

6.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period.

6.5 Price Changes

We reserve the right to modify subscription fees with 30 days advance notice. Continued use of the Service after price changes constitutes acceptance of the new fees.

7. Acceptable Use Policy

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Violate Instagram or Facebook terms of service
Send spam, unsolicited messages, or engage in harassment
Use the Service to distribute malware or malicious content
Attempt to access, tamper with, or use non-public areas of the Service
Reverse engineer, decompile, or attempt to extract source code
Use the Service to infringe on intellectual property rights
Impersonate any person or entity
Interfere with or disrupt the Service or servers
Use automated scripts to extract data without permission

8. AI Assistant and Content

8.1 AI-Generated Responses

Our AI assistant generates responses based on your configuration and knowledge base. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for monitoring and reviewing AI responses.

8.2 Your Content

You retain ownership of all content you provide (FAQs, documents, custom instructions). By using the Service, you grant us a license to use, process, and store your content to provide the Service.

8.3 Content Responsibility

You are solely responsible for ensuring that your AI assistant's responses comply with all applicable laws, regulations, and platform policies. This includes accuracy of information in your knowledge base and the appropriateness of automated replies sent to direct messages and public post comments on your behalf.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect, use, and protect your data as described in the Privacy Policy. By using the Service, you consent to our data practices.

10. Intellectual Property

10.1 Our Rights

The Service, including all software, text, graphics, logos, and other content (excluding your content), is owned by Askify and protected by copyright, trademark, and other intellectual property laws.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. This license terminates upon account cancellation.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may:

Perform maintenance and updates without prior notice
Experience downtime due to technical issues
Modify, suspend, or discontinue features
Limit usage to maintain service quality

12. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability or fitness for a particular purpose
Accuracy, reliability, or quality of AI-generated content
Uninterrupted or error-free operation
Security of data transmission
Compatibility with third-party platforms

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKIFY SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Errors or inaccuracies in AI-generated responses
Customer service issues arising from automated responses
Third-party platform changes or discontinuations
Unauthorized access to your account

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold Askify harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service, (b) violation of these Terms, (c) violation of third-party rights, or (d) content generated by your AI assistant.

15. Termination

15.1 By You

You may terminate your account at any time by canceling your subscription through the dashboard or contacting support.

15.2 By Us

We may suspend or terminate your account immediately if you:

Violate these Terms
Fail to pay subscription fees
Engage in fraudulent or illegal activities
Pose a security risk to the Service

15.3 Effect of Termination

Upon termination, your access to the Service will cease. We may delete your data after a reasonable period unless retention is required by law.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Askify operates, without regard to conflict of law principles.

18. Dispute Resolution

18.1 Informal Resolution

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally.

18.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except where prohibited by law.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
